Cerebras Falls to $146.62, Below Its $185 IPO Price –…

Cerebras Systems closed at $146.62 on Monday, down 10.69% in its lowest close since the company went public. The shares traded as low as $145.75 and volume reached about 18.1 million, more than double the recent one-month average of approximately 8.3 million. Cerebras is now 20.7% below its $185 IPO price, 52.9% below its $311.07 first-day close and 62.0% below the $386.34 intraday high set on its first trading day.

Up to 19.4 Million Shares Become Eligible Wednesday

The Cerebras prospectus states that up to approximately 19.4 million Class A shares held by directors, officers, non-executive employees and non-employee holders can be released from lock-up at 6:00 a.m. ET on 14 October. The document schedules another tranche of up to approximately 19.4 million shares for 28 October.

Eligible does not mean sold. Holders can retain the shares, and affiliates remain subject to securities-law limits and the company’s insider-trading policy. The potential supply nevertheless matters after a session in which the stock traded below the offering price. A similar tranche became eligible on 30 September, so Wednesday is another step in a staggered release rather than the first unlock.

FinanceFeeds previously explained that Cerebras’s lock-up uses several early-release dates before the remaining restrictions end. Form 144 filings around the September release showed that some insiders were preparing sales, but a filing reports a proposed transaction and is not evidence that every eligible share was sold.

The OpenAI Hardware Question Remains Unresolved

Cerebras fell further below its $185 IPO price after reports that OpenAI’s newer Ultrafast tier was running on Nvidia hardware. The shares had already closed below $185 several times before that report. Neither OpenAI nor Cerebras confirmed the hardware claim. OpenAI Chief Executive Sam Altman later called Cerebras a close partner and said the companies had a deep engagement around speed, but he did not identify the chips serving that tier.

The confirmed commercial relationship is broader. OpenAI and Cerebras announced a phased deployment of 750 megawatts of low-latency inference capacity through 2028. FinanceFeeds noted that OpenAI is also developing its own inference chip with Broadcom, while Nvidia is supporting infrastructure built for OpenAI. One workload can move among suppliers without proving that the wider Cerebras agreement has been cancelled.

The overhang is customer concentration. Cerebras disclosed $25.4 billion of remaining performance obligations at the end of June, with a significant share tied to OpenAI. That makes uncertainty about workload allocation more important for Cerebras than for diversified chip suppliers. The broader sector was already under pressure as investors questioned OpenAI’s revenue run rate and Broadcom’s OpenAI exposure.

Analyst Targets Have Not Followed the Stock Down

MarketBeat displayed an average 12-month price target of $299.90 when checked Tuesday, more than twice Monday’s close. The page’s analyst count and target range have varied across updates, so the average is the more defensible figure to cite. It is not automatically a bargain signal. Targets can lag a fast-moving customer concern, and many were set before the stock reached its latest low.

The immediate numbers are less ambiguous. The stock has lost 19.2% across the five trading sessions since its $181.55 close on 5 October. Monday’s 18.1 million-share volume was more than twice the one-month average, so the latest decline came with elevated turnover before another block becomes eligible.

November Earnings Have a Defined Operating Bar

Financial calendars disagree on the third-quarter report. Yahoo Finance lists 10 November, Zacks estimates 11 November and StockAnalysis gives 19 November. Cerebras investor relations does not currently show an upcoming earnings event, so none should be presented as company-confirmed.

The operating targets are confirmed. In its second-quarter results, Cerebras guided to third-quarter core revenue of approximately $214 million to $216 million and a core gross margin of 38% to 40%. The report will show whether the company stayed on that path while questions about OpenAI hardware circulated.

The earnings date also affects supply because the final lock-up expiry is tied to the earlier of the second trading day after third-quarter results or 180 days after the prospectus. Until Cerebras announces the date, investors have two separate clocks: the confirmed 19.4 million-share eligibility event on Wednesday and an unconfirmed earnings window in November.
