Starbucks could acquire Chipotle in blockbuster restaurant deal

Brian Niccol spent six years rebuilding Chipotle Mexican Grill. In 2024, he left the company to rescue Starbucks. Now a report suggests he may want to bring the two together.

The Financial Times reported on Oct. 8 that Starbucks (SBUX) has worked with advisers in recent months on a possible takeover proposal for the burrito chain. 

Starbucks did not acknowledge the deal and stated it does not comment on rumors. 

Chipotle (CMG) shares surged more than 6% on October 8, before pulling back 3% the following day. Meanwhile Starbucks lost 6.6% during the October 8 session and then closed nearly flat on that day.

So is the potential merger a smart reunion or an expensive detour? Here’s what I think. 

First, I will lay out the optimistic scenario for the deal. 

Why Starbucks might want Chipotle

In six years with Chipotle, Niccol has steered it through a food safety crisis and grown its digital business.

Since he left Chipotle, the stock has lost 40% in value. Valued at a market cap of $41 billion, CMG stock trades 54% below all-time highs in October 2026.

The real estate overlap is hard to ignore. Roughly 90% of Chipotle restaurants sit within one mile of a Starbucks, according to Stephens analyst Jim Salera, cited by CNBC. 

A combined company could develop new locations together, put the two brands side by side, and cut real estate and operating costs.

Many Starbucks customers also eat at Chipotle. One combined loyalty program could keep those customers inside the same system and spend more within the company, explained Salera. 

Combining the companies could allow cuts to redundant corporate roles, plus operating efficiencies from the real estate overlap. 

A focus on international growth could unlock another long-term growth driver. Reuters said Chipotle has roughly 100 restaurants outside the U.S., while Starbucks has much more, at 22,000. 

Chipotle CEO Scott Boatwright is already eyeing international expansion with a new Monterrey opening and Seoul and Singapore on the calendar.

Starbucks is still a work-in-progress

This is where my enthusiasm dips.

Starbucks is still a work in progress as it wrestles with slowing sales and sluggish consumer spending. 

In fiscal third quarter, global comparable sales rose 7.9% year over year. Operating margins rose 430 basis points to 14.4%, and earnings per share grew 70% to $0.85.

However, the company reported an operating margin of 16.2% in 2021, which is 180 basis points higher than the third quarter of 2026. 

In fiscal 2026 (ended in September), analysts’ forecasts compiled by TIKR project Starbucks to improve free cash flow by 37.5% year over year to $3.36 billion. Notably, the coffee giant reported a free cash flow of $4.5 billion in fiscal 2021.

Niccol described the new playbook on that call, stating:

“Our operational discipline and cost savings work are making us a more focused, nimble company that prioritizes better, spends smarter, and invests with intent.”

The playbook is hard to reconcile with a roughly $40 billion takeover. A deal that size would pull management away from the turnaround and could mean taking on heavy debt

It also runs counter to what Wall Street says it wants to see.

Why Wall Street is nervous 

The CNBC report has flagged several risks. 

  • Chipotle’s $40 billion market cap could make it the biggest restaurant takeover ever. 
  • Starbucks ended fiscal Q3 with $9.4 billion in debt. William Blair analyst Sharon Zackfia estimates leverage could balloon to about six times if it paid a 20% premium using mostly debt.
  • An all-stock deal would still cut earnings per share by about 10%. 
  • BTIG analyst Pete Saleh warned that a deal could consume significant senior management time.
  • Jack in the Box bought Del Taco in 2022. Its shares fell 73% while it owned the chain, and it later sold Del Taco for about $119 million. 
  • D.A. Davidson analyst Matt Curtis put the odds of a completed deal at about 20%, and called it “relatively low.”

My take: great story, wrong timing

I like the story, but I am wary of the timing, given the 10-year Treasury note is hovering at multi-decade highs.  

Chipotle is not a flawless prize, either. In its second quarter, comparable sales rose 2.2%, and transactions rose 1%. However, restaurant-level margin fell 220 basis points to 25.2%.

Chipotle experienced a slowdown in late July due to an industry-wide Cyclospora issue. It now expects Q3 comparable sales growth of about 1%. 

Niccol has said he wants every new Starbucks coffeehouse to “earn its place.” I would hold a $40 billion acquisition to the same standard. 

Starbucks should first prove it can rebuild margin and deliver steady growth.

Starbucks said it will report fourth-quarter results and give its outlook for the next fiscal year later this month. I’ll watch margin first, and any hint of deal appetite second.
